Introduction and Acceptance of Terms

These Terms of Service (these "Terms") govern your access to and use of the website located at www.aromarendezvous.com (the "Site") and your purchase of any products offered through the Site (the "Products"). The Site and the Products are owned and operated by Henry Grace LLC, a Minnesota limited liability company, doing business as ("DBA") AromaRendezvous (collectively, "AromaRendezvous," "we," "us," or "our").

In these Terms, "you" and "your" refer to the individual or entity accessing the Site, browsing its content, or purchasing Products.

By accessing or using the Site, browsing its content, creating an account, or placing an order, you acknowledge that you have read, understood, and agree to be bound by these Terms and by any policies referenced in these Terms, including our Privacy Policy. If you do not agree to these Terms, you must not access or use the Site or purchase any Products.

We may revise, modify, or update these Terms at any time and in our sole discretion. Any changes will be effective when we post the revised Terms on the Site and update the "Effective Date / Last Updated" date above. Your continued use of the Site or any purchase made after the revised Terms are posted constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

No Affiliation with Fragrance Brands; Nominative Fair Use of Trademarks

IMPORTANT — Please read this section carefully. AromaRendezvous is an independent retailer. We are NOT affiliated, associated, authorized, sponsored, endorsed by, or in any way officially connected with any of the fragrance brands, designers, houses, manufacturers, or trademark owners whose fragrances we sell in decant form, nor with any of their subsidiaries or affiliates.

All brand names, product names, trademarks, service marks, logos, intellectual property, trade names, and trade dress referenced or displayed on the Site are the property of their respective owners. We claim no ownership of, and assert no rights in, any third-party brand names, trademarks, or trade dress.

We reference third-party brand names and trademarks solely for the descriptive and nominative purpose of accurately identifying the genuine fragrance contained in a particular decant. This nominative use is intended only to tell you which authentic Product a decant contains. No such reference is intended to suggest, and you should not infer, any affiliation, sponsorship, endorsement, approval, or partnership between AromaRendezvous and any brand or trademark owner.

No trademark owner, brand, designer, or manufacturer has authorized, sponsored, endorsed, reviewed or approved AromaRendezvous, the Site, or our Products. Any use of a third-party name or mark on the Site is for identification purposes only and does not imply any relationship between us and the owner of that name or mark.

Products and Decant Authenticity Disclosure

AromaRendezvous is an online retailer offering fragrance decants in various sizes. A decant is a quantity of an authentic, genuine designer or branded fragrance that has been transferred and repackaged from a genuine full-size manufacturer's bottle into a smaller or alternative container provided by us.

Because Products are repackaged decants, they do NOT come in the original manufacturer's bottle, box, packaging, sealing, labeling, or presentation. Decants are supplied in our own containers, which are clean and unused, and may include atomizers, vials, sprayers, or similar packaging.

The fragrance contained in each decant is sourced from the authentic, genuine full-size bottle associated with its listing. Each decant is carefully measured to ensure you receive the volume selected at the time of purchase. Each decant is labeled to indicate the name, brand and volume, and identifies AromaRendezvous as the vendor.

Fragrance performance, including longevity, projection, and sillage, may vary from person to person due to skin chemistry, environmental conditions, storage conditions, reformulations, and other factors. Fragrances are carefully tested to meet quality standards, however, due to the subjective nature of evaluating fragrances, we do not guarantee any particular fragrance’s performance or user experience.

All product descriptions, brand references, images, and photographs displayed on the Site are provided solely to identify the genuine fragrance contained within the decants. They do not represent the packaging or presentation in which the decant is supplied. Images are for identification and illustration only.

Eligibility and Age Requirement

You must be at least eighteen (18) years of age to purchase any Products or to create an account on the Site. By placing an order, you represent and warrant that you are at least 18 years of age and that you have the legal capacity to enter into a binding agreement.

The Site and the Products are intended for adults. The Site is not directed to, marketed to, or intended for use by minors.

The Site is not intended for or directed to children under the age of thirteen (13). We do not knowingly collect personal information from children under 13. If you are under 13, you must not use the Site or provide any personal information to us. If we learn that we have collected personal information from a child under 13, we will take reasonable steps to delete that information.

Account Registration and Security

Certain features of the Site may allow or require you to create an account. You agree to provide accurate, current, and complete information and to keep your account information updated.

You are responsible for maintaining the confidentiality of your account credentials, including your username and password, and for restricting access to your account and devices. You accept responsibility for all activities that occur under your account, whether or not authorized by you.

You agree to notify us immediately at info@aromarendezvous.com if you suspect any unauthorized access to or use of your account or any other breach of security.

We reserve the right, in our sole discretion, to suspend, restrict, or terminate accounts that we believe have been compromised, are being used fraudulently, or otherwise violate these Terms.

Pricing, Orders, and Acceptance or Refusal of Orders

Product availability is not guaranteed due to the natural limited quantities. Orders will be filled in the order in which they are received. On the occasion a person purchases an item which becomes out of stock, a full refund will be issued. Products may become unavailable at any time and without notice. We reserve the right to discontinue any Product or modify quantities or pricing at any time and at our sole discretion. We reserve the right to correct any errors, inaccuracies, or omissions of any kind and to update information at any time without prior notice.

All prices are stated in United States Dollars (USD) and are exclusive of any applicable taxes, shipping, and handling charges, which will be added at checkout where applicable. Applicable sales tax will be collected where required by law.

Your submission of an order constitutes an offer by you to purchase the Products in your order. No order is binding on us until we accept it. We may accept or decline your order, in whole or in part, in our sole discretion. An order confirmation or acknowledgment email confirms that we have received your order but does not by itself constitute acceptance of your order.

We reserve the right, at any time and in our sole discretion, to limit or cancel quantities purchased per person, per household, or per order; to refuse or cancel any order; and to discontinue any Product. We may apply these restrictions to orders placed by or under the same customer account, the same payment method, or the same billing or shipping address.

We reserve the right to refuse service, limit purchases, suspend accounts, or prohibit future orders from any customer for suspected fraud, abuse of our policies, excessive disputes, or any conduct that we believe may harm our business, other customers, or our operations.

We use reasonable efforts to ensure that pricing and product information on the Site is accurate. However, errors may occur. In the event a Product is listed at an incorrect price or with incorrect information due to a typographical, pricing, or other error, we reserve the right to refuse or cancel any order placed for that Product, whether or not the order has been confirmed and whether or not your payment method has been charged. If your payment method has already been charged and we cancel your order, we will issue a refund of the amount charged for the cancelled item.

All Sales Final; No Returns, Refunds or Exchanges

Because Products are hand-decanted fragrance products that are repackaged and supplied for personal use, and for reasons of hygiene, safety, and product integrity, ALL SALES ARE FINAL. Except as expressly set out in these Terms of Service or as required by non-waivable applicable law, we do not accept returns, and we do not offer refunds, exchanges, or store credit.

Nothing in these Terms is intended to exclude, restrict, or limit any rights or remedies you may have that cannot lawfully be excluded, restricted, or limited under applicable law. To the extent applicable law grants you any non-waivable rights, those rights apply notwithstanding these Terms of Service.

Cancellation Policy

If your order has not yet been shipped, it may, in our sole discretion, be eligible for cancellation. Cancellation requests are not guaranteed. To request a cancellation, email info@aromarendezvous.com with your order number and your specific request.

Damaged or Incorrect Items on Arrival

If a Product arrives materially damaged in transit, or if you receive the wrong item, you may notify us at info@aromarendezvous.com within five (5) days of delivery, including your order number and photographs reasonably evidencing the issue. We will review each such report and, where we determine in our reasonable discretion that the claim is valid, we may, as your sole and exclusive remedy and at our option, provide a replacement of the affected Product or a refund of the amount paid for the affected Product. This accommodation is offered at our discretion and does not modify the "all sales final" policy for any other reason.

Payment Terms; Anti-Chargeback and Payment Disputes

You agree to pay all charges incurred by you or on your behalf through the Site at the prices in effect when the charges are incurred, including all applicable taxes and shipping and handling charges. Payment must be made at the time of order through the payment methods we make available.

You represent and warrant that you are authorized to use the payment method you provide and that the payment information you provide is true, accurate, and complete.

Contact us first before disputing a charge.

If you have any problem, question, or concern regarding an order, a charge, or a Product, you agree to contact us first at info@aromarendezvous.com and to give us a reasonable opportunity to address and resolve the matter before initiating any chargeback, payment dispute, or reversal with your bank, card issuer, or payment provider.

You agree that initiating a chargeback or payment dispute in bad faith, or on fraudulent or false grounds — including, without limitation, claiming non-receipt of a Product that was delivered, claiming non-authorization of a charge that you authorized, or seeking a chargeback to circumvent our "all sales final" policy constitutes a material breach of these Terms.

In the event of a fraudulent or bad-faith chargeback or payment dispute, we reserve all rights and remedies available to us at law or in equity, including, without limitation, the right to recover the disputed amount, any chargeback fees and related costs we incur, our costs of collection, and reasonable attorneys' fees to the fullest extent permitted by law; the right to suspend or terminate your account and refuse future orders; and the right to report the matter to the relevant payment networks, fraud-prevention services, and law enforcement.

Shipping

United States only. We ship Products to destinations within the United States only. We do not ship internationally. You are responsible for providing an accurate and complete shipping address; we are not responsible for orders delayed, lost, or misdelivered as a result of an incorrect or incomplete address provided by you.

Hazardous-materials and carrier restrictions

Fragrances are alcohol-based products and are classified as flammable goods that are subject to carrier policies and hazardous-materials (HAZMAT) shipping restrictions and applicable law. As a result, Products are generally shipped by ground transportation. Expedited or air shipping is not available.

Products are sold for delivery within the United States only. Customers are responsible for complying with all laws applicable to the transport, export, or forwarding of Products after taking possession of the item at delivery, if they so choose.

Risk of loss and title

Title to and risk of loss for all Products pass to you upon our delivery of the Products to the carrier. From that point, the Products are your responsibility, and any claims for loss or damage in transit are subject to these Terms. We are not responsible for packages lost, stolen, or damaged after delivery has been confirmed by the carrier.

Shipping timeframes

Any shipping, processing, or delivery timeframes stated on the Site or in any communication are estimates only and are not guaranteed. We are not liable for delays in delivery caused by carriers, weather, hazardous-materials handling, or other circumstances beyond our reasonable control.

Product Safety and Allergy Disclaimer

Fragrance products may contain ingredients, including alcohol and aromatic compounds, that can cause skin irritation, sensitization, or allergic reactions in some individuals. Reactions vary from person to person.

Before applying any Product to your skin, you should perform a patch test on a small area of skin and wait to confirm that no irritation or reaction occurs. If you experience any irritation, redness, discomfort, or allergic reaction, you should discontinue use immediately and, if necessary, seek medical advice.

Certain fragrance products may contain pigments that can stain clothing or skin. It is advised to test the fragrance on skin or a piece of paper if you are concerned regarding the potential of a fragrance containing pigments that may result in a stain.

Products are sold for personal use only and are intended to be used as personal fragrance. Products are not intended to be ingested or used in any manner inconsistent with their nature as a personal fragrance. Keep Products away from eyes, flame, and heat, and out of the reach of children.

Information on the Site is provided for general informational purposes only and should not be construed as professional, medical, or dermatological advice.

To the fullest extent permitted by law, you assume all risks associated with the use of the Products, including the risk of skin irritation or allergic reaction, and you agree that we are not responsible for any reaction resulting from your use of, or sensitivity to, any Product.

Disclaimer of Warranties

To the fullest extent permitted by applicable law, the Site and the Products are provided on an "AS IS" and "AS AVAILABLE" basis, with all faults and without warranties of any kind, whether express, implied, statutory, or otherwise.

To the fullest extent permitted by the laws of the State of Minnesota and other applicable law, we expressly disclaim all warranties, including, without limitation, the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranties arising from course of dealing, course of performance, or usage of trade.

We do not warrant that the Site will be uninterrupted, secure, error-free, or free of viruses or other harmful components, or that any defects will be corrected. You use the Site and the Products at your own risk.

Limitation of Liability

To the fullest extent permitted by applicable law, in no event shall AromaRendezvous, or its members, managers, officers, employees, agents, or suppliers, be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or relating to the Site, the Products, or these Terms, whether based in contract, tort (including negligence), strict liability, or any other legal theory, and whether or not we have been advised of the possibility of such damages.

To the fullest extent permitted by applicable law, our total aggregate liability arising out of or relating to the Site, the Products, or these Terms, from all causes of action and under all theories of liability, shall not exceed the amount actually paid by you to us for the specific Product giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above exclusions or limitations may not apply to you. In such jurisdictions, our liability is limited to the maximum extent permitted by law. Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law.

Indemnification

You agree to indemnify, defend, and hold harmless AromaRendezvous and its members, managers, officers, employees, agents, and suppliers from and against any and all claims, demands, actions, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your access to or use of the Site; (b) your purchase or use of any Product; (c) your violation of these Terms; (d) your violation of any applicable law or the rights of any third party; or (e) any content you submit to the Site.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you agree to cooperate with us in asserting any available defenses.

Intellectual Property; User-Generated Content

Site content. Except for third-party brand names, trademarks, and trade dress described in these Terms (which remain the property of their respective owners), all content on the Site — including the design, layout, text, original product descriptions, original photographs and images created by us, graphics, the AromaRendezvous name and logo, and the compilation and arrangement of all content — is owned by or licensed to AromaRendezvous and is protected by United States and international intellectual property laws.

You may not copy, reproduce, distribute, publish, display, modify, create derivative works from, or otherwise exploit any content of the Site, in whole or in part, without our prior written permission, except that you may view and use the Site for your own personal, non-commercial purposes in connection with browsing and purchasing Products.

User-generated content. The Site may allow you to submit reviews, comments, ratings, photographs, or other materials ("User Content"). You retain ownership of your User Content, but by submitting User Content you grant us a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, transferable, and sublicensable license to use, reproduce, modify, adapt, publish, display, and distribute that User Content in connection with the Site and our business, including for marketing and promotional purposes.

You represent and warrant that you own or have the necessary rights to submit your User Content and that your User Content does not infringe any third party's rights or violate any law. You agree not to submit any User Content that is unlawful, defamatory, obscene, harassing, fraudulent, infringing, or otherwise objectionable. We reserve the right, but have no obligation, to review, screen, edit, remove, or refuse to post any User Content at any time and in our sole discretion.

Prohibited Conduct and Acceptable Use

You agree that you will not, and will not attempt to: (a) use the Site for any unlawful, fraudulent, or unauthorized purpose; (b) purchase Products for resale or other commercial purpose without our prior written consent; (c) misrepresent your identity, age, or payment information; (d) interfere with, disrupt, or attempt to gain unauthorized access to the Site, its servers, or any associated systems or networks; (e) use any robot, spider, scraper, or other automated means to access the Site or collect information from it; (f) introduce any virus, malware, or other harmful code; (g) infringe or misappropriate any intellectual property or other rights of AromaRendezvous or any third party; or (h) use the Site in any manner that could damage, disable, overburden, or impair the Site.

We reserve the right to investigate and take appropriate action, including suspending or terminating your access to the Site and refusing future orders, against anyone who, in our sole discretion, violates this Section or any other provision of these Terms.

Privacy

Your use of the Site and your provision of personal information to us are governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Site or placing an order, you consent to our collection, use, and disclosure of your information as described in the Privacy Policy. Governing Law and Dispute Resolution

Governing law. These Terms, and any dispute or claim arising out of or relating to these Terms, the Site, or the Products (including non-contractual disputes or claims), are governed by and construed in accordance with the laws of the State of Minnesota, without regard to its conflict-of-laws principles.

Informal dispute resolution first. Before initiating any legal proceeding, you agree to first contact us at info@aromarendezvous.com with a written description of your dispute and to give us at least thirty (30) days to attempt to resolve the dispute informally and in good faith. Many disputes can be resolved quickly and to your satisfaction through this informal process.

Exclusive jurisdiction and venue. If the dispute is not resolved through the informal process described, you agree that any legal action or proceeding arising out of or relating to these Terms, the Site, or the Products shall be brought exclusively in the state or federal courts located in the State of Minnesota. You irrevocably consent and submit to the exclusive personal jurisdiction and venue of those courts, and you waive any objection to such jurisdiction or venue on the grounds of inconvenient forum or otherwise.

Miscellaneous

Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision shall be deemed modified to the minimum extent necessary to make it enforceable, or, if it cannot be so modified, severed from these Terms, and the remaining provisions shall remain in full force and effect.

Entire agreement. These Terms, together with our Privacy Policy and any other policies or terms posted on the Site, constitute the entire agreement between you and us regarding your use of the Site and your purchase of Products, and supersede all prior or contemporaneous understandings and agreements, whether written or oral, on that subject.

No waiver. Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of that right or provision. Any waiver must be in writing and signed by us to be effective, and a waiver of any breach shall not constitute a waiver of any other or subsequent breach.

Assignment. You may not assign or transfer these Terms or any of your rights or obligations under these Terms without our prior written consent. We may freely assign or transfer these Terms, in whole or in part, without restriction. These Terms are binding upon and inure to the benefit of the parties and their permitted successors and assigns.

Force majeure. We shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including, without limitation, acts of God, natural disasters, fire, flood, epidemic or pandemic, war, terrorism, civil unrest, labor disputes, governmental action, carrier delays, hazardous-materials shipping restrictions, supply shortages, or failures of utilities or telecommunications.

Electronic communications. By using the Site or providing your email address, you consent to receive communications from us electronically, including by email and by postings on the Site. You agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communications be in writing.
